The agreement
These terms are an agreement between you and Atlas Lejon AB, Sweden, which runs Codyn and Codyn Reach (reach.codyn.se). By creating an account, connecting a social account, or applying as a creator, you accept them. If you use Codyn Reach for a company, you confirm that you may bind that company to these terms.
Our Privacy Policy explains how we handle personal data and is part of this agreement. A separate written agreement with Codyn takes priority over these terms where they differ.
Your account
- You must be at least 18 and give accurate information.
- Keep your password safe. You are responsible for what happens in your account and in the workspaces you manage, including what your team members do.
- Tell us right away at hello@codyn.se if you suspect someone has accessed your account.
Social platforms
Codyn Reach publishes to and reads from social platforms through their official APIs, using the access you grant. When you connect an account you confirm that you are allowed to manage it, and you agree to follow that platform's own terms, including the Meta Terms, Instagram Terms of Use, YouTube Terms of Service, TikTok Terms of Service and LinkedIn User Agreement.
Platforms change their APIs and rules, and they may limit or remove features or reject a post. We are not responsible for what a platform does, but we will tell you when something stops working and fix what we can.
Your content
You keep all rights to the content you upload, write or publish through Codyn Reach. You give us a limited license to store, process, display and send that content only as needed to run the service for you, for example to publish a scheduled post or show it to an approver.
You are responsible for your content and confirm that you have the rights to it, including music, images, trademarks and the people shown in it.
Acceptable use
You may not use Codyn Reach to:
- publish content that is illegal, misleading, hateful, harassing or infringes someone's rights;
- send spam, run fake engagement, buy or sell followers, or manipulate platform metrics;
- break a platform's terms or try to get around its limits;
- access accounts or data you are not authorized to use;
- attack, overload, reverse engineer or scrape the service.
We may remove content, pause publishing or suspend an account that breaks these rules. Where we can, we tell you first and give you a chance to fix it.
Creator marketplace
- Our role. Codyn Reach connects brands with creators and holds payment in escrow. The collaboration itself is an agreement between the brand and the creator. Codyn is not a party to it and is not either side's employer or agent.
- Approval. Creator profiles are reviewed by Codyn before brands can see them. We may decline or remove a profile, for example if follower numbers cannot be verified.
- Escrow. When a brand accepts a proposal, the agreed price is paid into escrow before work starts. It is released to the creator when the agreed goal is reached. If a collaboration is cancelled or disputed, Codyn reviews the proposal, messages and delivered content and decides whether the funds are released or refunded.
- Advertising disclosure. Creators must label sponsored content clearly as advertising (for example "Reklam" or "Ad") as required by the Swedish Marketing Practices Act and each platform's branded content rules. Brands must not ask creators to hide it.
- Taxes. Creators are responsible for their own taxes and social security contributions on payouts.
Fees and payment
Prices for Codyn Reach are agreed with you before you are charged. On marketplace collaborations, a platform fee may be deducted from the creator's payout; the fee is shown before a proposal is sent. Prices exclude VAT unless stated. Unpaid invoices may lead to suspension after a reminder.
Availability
We work to keep Codyn Reach running and your data safe, but we cannot promise the service will always be available or free of errors. Scheduled posts can fail when a platform is down or rejects them; Codyn Reach tells you when that happens so you can act.
Ending the agreement
You can stop using Codyn Reach and ask us to delete your account at any time. We may end the agreement with 30 days' notice, or right away if you seriously break these terms. When the agreement ends we delete your data as described in the Privacy Policy. Escrow funds for ongoing collaborations are settled or refunded first.
Liability
Codyn Reach is provided as it is. To the extent the law allows, we are not liable for indirect losses such as lost profit, lost data or lost reach, and our total liability to you in a year is limited to the amount you paid us in the 12 months before the claim. Nothing in these terms limits liability for gross negligence, intent, or rights you have as a consumer.
You will hold us harmless from claims caused by your content or your breach of these terms or a platform's terms.
Law and disputes
These terms are governed by Swedish law. Disputes are settled by Swedish courts, with Stockholm District Court as the first instance, unless mandatory consumer rules give you another forum.
Changes and contact
We may update these terms. If a change matters, we will tell you by email or in the app at least 30 days before it takes effect. If you keep using Codyn Reach after that, the new terms apply.
